Empowering Ownership and Creativity in the World of Himalaya

This document serves as the License Agreement for HimaLabs' Non-Fungible Tokens (NFTs), known as "Himalaya NFTs" or "Himalaya Collectables." The License grants exclusive rights to the owners of Himalaya Collectables, allowing them to hold, sell, transfer, and perform blockchain transactions involving their NFTs. However, HimaLabs retains ownership of the intellectual property rights, copyrights, and trademarks related to the Himalaya Collectables.

The License enables the reproduction, distribution, creation of derivative works, public display, and performance of the Himalaya Collectables, subject to certain restrictions. The License does not permit the exploitation of individual elements of the NFTs or use of HimaLabs' copyrights and trademarks. Any derivative works created during the License Term are jointly owned by the owner and HimaLabs.

Utility may be offered with ownership of a Himalaya Collectable, but HimaLabs does not guarantee or provide third-party utility. Ownership and License are inseparable, and the License terminates upon transfer of ownership. The document outlines arbitration and dispute resolution processes and indemnification requirements.

The owner is responsible for complying with applicable laws and acknowledges the risks associated with Himalaya Collectables. HimaLabs disclaims all warranties related to the NFTs and will not be liable for any damages, losses, or claims arising from their use. The License allows HimaLabs to publicly display and use the NFTs for promotional purposes.

In case of amendments, HimaLabs will publish a new version of these Terms. The License is only valid for Himalaya Collectables recorded on the designated blockchain. The parties agree to conduct their contract electronically. Any provision found invalid will be revised to the minimum extent required to make it valid and enforceable. The parties may give notice through the provided email address.
